VISION SOLAR – TERMS AND CONDITIONS

1. About these terms
These terms and conditions govern the quotation, sale, supply and installation of solar PV and related systems by Vision Solar Renewable Energy Ltd (trading as Vision Solar), a company registered in Ireland (CRO 728223, VAT IE 4059523DH), registered office 78 O’Connell Street, Limerick, V94 X868.
They form the contract between us and the customer (you). Placing a deposit, signing our quotation, or otherwise instructing us to proceed confirms your acceptance of these terms.
These terms prevail over any other terms you put forward. Where you are a consumer, nothing in these terms affects your statutory rights under the Consumer Rights Act 2022.
2. Definitions
System: the solar PV system and any components (panels, inverters, batteries, EV chargers, hot water diverters, cabling and mounting) we agree to supply and install.
Quotation: our written price and specification for the System.
SEAI: the Sustainable Energy Authority of Ireland. Grant: any SEAI grant applicable to the works.
Consumer: an individual buying for purposes outside their trade or business. Commercial and agricultural customers are not consumers.
3. Quotation and how the contract is formed
Our Quotation is valid for 30 days from its date unless we state otherwise.
The Quotation is based on the information you give us and, where applicable, is subject to a site survey. If the survey or site conditions differ materially from that information, we may revise the Quotation before works begin.
A binding contract is formed when you pay the booking deposit or sign the Quotation, whichever comes first. Once the contract is formed the price is fixed and will not change except where clause 7 (Variations) applies.
4. Price and payment
Deposit: a booking deposit of 500 euro is payable to secure your order and installation date.
Balance: the balance of the price, less any Grant we are claiming on your behalf (see clause 6), is due within 14 days of completion of the installation.
Commercial customers: where the Quotation sets out different deposit or stage payments, the Quotation terms apply.
Prices include VAT at the applicable rate. Residential solar PV currently qualifies for the 0% VAT rate; other works may be charged at the reduced or standard rate.
We may suspend works or withhold commissioning, handover documentation or warranty registration until all sums due have been paid in full.
Late payment: overdue amounts carry interest at the statutory rate under the European Communities (Late Payment in Commercial Transactions) Regulations.
Retention of title: all equipment supplied remains our property until paid for in full. Until then you must keep it safe and insured and must not dispose of it.
5. VAT and grant eligibility – your confirmation
You confirm that the information you have given us about the property and your eligibility (for the 0% residential VAT rate and/or the Grant) is accurate. If it is not, and a different VAT rate or repayment applies as a result, the difference is payable by you.
6. SEAI grant
Where a Grant applies, you authorise us to apply for and receive the Grant on your behalf, and we deduct the Grant amount from your balance so you pay the net figure.
The Grant is subject to SEAI rules, including a valid BER assessment and eligibility of the property. You confirm you meet SEAI eligibility criteria and have not already claimed a Grant that would prevent this claim.
If SEAI reduces, refuses or later reclaims the Grant for any reason attributable to you or the property (for example ineligibility, a prior claim, or a failed post works assessment), the Grant amount becomes payable by you.
We assist with documentation but do not guarantee Grant approval, amount or timing.
7. Variations and additional works
If, before or during installation, works are needed that were not in the Quotation (for example an electrical board upgrade, additional cable runs, scaffolding, structural works, or works arising from site conditions), we will price them for you.
Additional works are only carried out once agreed with you in writing (including by email or message) and are charged in addition to the Quotation price.
8. Your responsibilities and site access
You own the property or have the owner’s written permission for the installation. You are responsible for any planning permission or other consents that may be required.
You will provide safe, clear and unobstructed access to the roof and work areas, including for scaffolding, and a suitable power supply on site. You will ensure a responsible adult is present on the installation day(s) where needed.
If we attend and cannot proceed because these conditions are not met, we may charge a reasonable abortive visit fee of 150 euro and reschedule.
9. Groundworks for ground mounted systems
For ground mounted systems the first 50 metres of cable run and ducting is included in your system price. Cable and ducting beyond 50 metres is charged per metre as set out in your Quotation.
Trenching is priced in your Quotation under one of the following options: (a) you dig and close the trench yourself at no extra cost, (b) a digger and operator day rate for runs through grass or soil, or (c) our groundworks contractor at a callout fee plus a per metre rate where concrete or tarmac must be dug out and reinstated.
Where you dig the trench yourself it must be 500mm deep and at least 200mm wide, open and dry on installation day, and you must send a video of the completed trench to our office before we book your installation. If the trench is not to specification on the day, the applicable digging rates apply.
We backfill trenches we dig but do not reseed or landscape.
10. Installation, timescales and delays
We will agree an installation date with you. All dates and durations are estimates and time is not of the essence.
We are not liable for delays caused by matters outside our reasonable control. We will keep you informed.
11. Grid connection and export
Connection of the System to the grid, and any export of electricity, are subject to ESB Networks processes, approval and timelines, which are outside our control. We submit the necessary connection paperwork on your behalf.
12. Completion, handover and snagging
The installation is complete when the System is installed and commissioned. On completion we provide handover documentation and the relevant electrical certification.
If you identify any snags, notify us within 14 days and we will remedy any that are our responsibility. Minor snags do not delay completion or the balance becoming due.
13. System performance
Any figures we give for energy generation, savings, payback or bill reduction are good faith estimates only and are not guaranteed. Actual performance depends on factors outside our control, including weather, shading, your usage patterns and tariff rates.
14. Warranties
Workmanship: we warrant our installation workmanship for 60 months from completion.
Products: panels, inverters, batteries and other equipment carry the manufacturer’s own warranty. We pass these through to you and will help you make a claim, but the manufacturer, not Vision Solar, is responsible under those warranties.
Our warranty does not cover faults caused by misuse, accidental or third party damage, unauthorised modification or repair, tampering, failure to maintain the System, disconnection from monitoring, or events such as power surges or extreme weather.
For consumers, this warranty is in addition to your statutory rights and does not limit them.
15. Our liability
We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be excluded under law, including consumers’ statutory rights.
Subject to that, our total liability arising out of the contract is limited to the price paid for the System, and we are not liable for indirect or consequential loss, including lost savings, lost income or business interruption.
We are not responsible for pre existing defects in your property or roof, or for damage arising from conditions we could not reasonably have identified.
16. Cancellation and cooling off
If you are a consumer and you entered into this contract in your home or at a distance, you have a statutory right to cancel within 14 days without giving a reason, under the Consumer Rights Act 2022. To cancel, tell us in writing within that period.
If you ask us in writing to begin work during the 14 day period and we do so, you may still cancel, but you must pay for the work carried out up to the point you cancel.
Where you validly cancel and no work has started, we refund any deposit within 14 days.
If you cancel after the cooling off period (or, for non consumers, at any time), we may retain or charge the reasonable costs we have incurred, including materials ordered, design and administration. The booking deposit is refundable less those costs.
17. Insurance and damage
We hold appropriate insurance for our installation works. If you believe we have caused damage during installation, tell us within 7 days of completion so we can inspect and, where we are responsible, put it right.
18. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including extreme weather, fire, flood, industrial action, supply chain failure or acts of government. Affected obligations are suspended while the event continues.
19. Data protection
We process your personal data in accordance with GDPR and our Privacy Policy (visionsolar.ie/privacy-policy). This includes data from any monitoring platform associated with your System. We do not share your data except as needed to deliver the contract (for example with SEAI or ESB Networks).
20. Complaints and dispute resolution
If you have a complaint, contact us at info@visionsolar.ie or 061 513 045 and we will aim to resolve it promptly. If we cannot resolve it, a consumer may be entitled to refer the matter to the relevant consumer body or the courts.
21. General
We may assign or subcontract our obligations; you may not assign yours without our consent.
If any term is found unenforceable, the rest of these terms continue to apply.
These terms and the Quotation are the entire agreement between us and supersede earlier discussions.
These terms are governed by the laws of Ireland and the Irish courts have exclusive jurisdiction.
